What Amazon Sellers MUST Know About Sell-Through Agreements
Sell-through agreements are very common, especially when dealing with Amazon complaints or cease & desist letters.
Essentially, a sell-through agreement happens when one party claims that the other is infringing. And, in exchange for dropping any of their claims, they allow a sell-through agreement. It’s generally a period of about 30 to 90 days, depending upon the agreed terms, where that seller is allowed to sell out of their remaining inventory.
Now, you shouldn’t draft these yourself. I highly recommend having either us or another attorney look at it. Sometimes firms will reach out to sellers individually and they make the mistake of signing whatever is forwarded to them. You really want to be extremely careful.
