Amazon Unsuitable Inventory Investigations and Appeals

The attorneys and paralegals at Rosenbaum & Segall, PC represent sellers facing unsuitable inventory investigations, account deactivations and disputes over inventory held by Amazon. If you received a notification from Amazon under its  unsuitable inventory investigations policy, your inventory, selling privileges and access to funds may all be at risk.
Amazon may be investigating where you sourced your products, whether they are authentic, and whether your invoices and other purchase records can be verified. We have also seen unsuitable inventory investigations in cases where Amazon suspects a seller’s inventory may be stolen, counterfeit, or “sourced by illicit” means – typically as a result of a report from the Retail Crimes or Counterfeit Crimes teams.
An unsuitable inventory investigation notice may also contain a deadline to provide more information to Amazon to avoid suspension of selling privileges, withheld funds, and / or stranded inventory. If you have received an unsuitable inventory investigation notice, contact our attorneys with the notice and its deadline or call us 212-256-1109 to discuss your case.

What does “unsuitable inventory” mean?

Amazon’s unsuitable inventory investigations policy addresses Amazon’s focus on customer trust and typically involves suspected violations of the anti-counterfeiting or restricted products policies. Amazon may request information or documentation regarding your identity, product authenticity, and compliance with relevant laws. Amazon also claims they may validate any information you provide with certain third parties or government agencies and may withhold some or all of your inventory while they investigate.

The term “unsuitable unit” is also defined in Amazon’s fulfillment terms:

“Unsuitable Unit” means a Unit: (a) that is defective, damaged, unfit for a particular purpose, or lacking required label(s); (b) the labels for which were not properly registered with Amazon before shipment or do not match the product that was registered; (c) that is an FBA Excluded Product or does not comply with the Agreement (including applicable Service Terms and Program Policies); (d) that Amazon determines is unsellable or unfulfillable; or (e) that Amazon determines is otherwise unsuitable.”

This definition is intentionally broad, and in practice can apply to various allegations. Your specific notice will usually provide a bit more information about why Amazon believes your inventory is unsuitable for sale, including, but not limited to:

  • Suspected Counterfeit Inventory
  • Suspected Stolen Inventory or Inventory allegedly “sourced by illicit means”
  • Inventory sourced from an allegedly “unauthorized distribution channel”

A seller may have purchased authentic products and still have sourcing and/or documentation issues. An invoice may fail to fully identify the supply chain or may be linked to a supplier Amazon has flagged internally or cannot independently verify as legitimate. In most unsuitable inventory investigation cases, proving a valid supply chain to Amazon is the key to resolution.

Unsuitable Inventory Issues: Funds, Selling Privileges & Inventory

An Amazon unsuitable inventory case can affect multiple aspects of your business at once. It is important to carefully review the notice you received, identify any deadlines to submit a response as well as any consequences for failure to comply. Amazon often withholds funds and inventory and/or suspends selling privileges if the seller fails to properly respond to an Amazon unsuitable inventory policy investigation.
  • Selling Privileges
An unsuitable inventory investigation may also accompany an  Amazon Section 3 suspension, a product restriction or another account-level action. We analyze the notice you received as well as your account history, taking a holistic view of the situation to assess the best course of action to address Amazon’s concerns. An appeal should respond directly to the actual allegation, including any concerns about the seller’s conduct or the reliability or authenticity of its documents and records.
  • Inventory Held at Amazon Fulfillment Centers
Amazon may also hold your inventory at FBA fulfillment centers as a result of an unsuitable inventory allegation. We assist sellers in obtaining release of inventory holds, seek permission to remove the goods to their own warehouse, and provide responses to Amazon’s threatened inventory disposals. The outcome of every case is fact specific – reinstatement of your account does not always mean recovery of all inventory or the ability to continue selling the accused inventory in the future.
  • Withheld Funds
If Amazon is also withholding payments, that can be analyzed separately. The amount in dispute, Amazon’s provided reasoning, and the applicable payment terms are considered before a recommendation is provided. A successful inventory appeal can result in the release of withheld funds, but it is not a guarantee that a portion of or entire balance will be released.

Invoices Alone may not be Enough

Submitting invoices is only a portion of what Amazon requires to address an Amazon unsuitable inventory notice. The documents submitted must support the transaction, including proof of payment, identity confirmation and supplier verification and supply chain documentation. Sending the same records again without addressing the reason for rejection may leave the central issue unresolved. Depending on the notice and allegations provided by Amazon, our initial review will include:

  • Supplier invoices, contact information and records supporting the supplier’s identity.
  • Product descriptions, model numbers, quantities and other information connecting purchases to the affected ASINs.
  • Payment records showing the transaction was completed.
  • Shipping, delivery and receiving records linking the purchase to the inventory sent to Amazon.
  • Business and identity records explaining differences between the account holder, purchaser and receiving entity.
  • Relevant compliance documents and upstream sourcing records, where available and necessary to address the concern.

Amazon’s published invoice requirements address matters such as supplier details, invoice dates, quantities and product identification. The notice you receive may request additional, more specific information. We will assess your records against the case specific requirements for your matter to identify missing evidence and address the requirements in Amazon’s notice.

Never create replacement transactions, alter documents, dates or supplier details, and always preserve your original documents.

How Amazon Sellers Lawyer Can Help with Unsuitable Inventory Allegations

Review of the Notice and Full Appeal History

Our initial review will focus on the actual notice from Amazon, the relevant products, any deadline provided, and the consequences described in the correspondence. We also conduct a review of any prior submissions and responses from Amazon as well as a holistic account history review. A new response should account for what has already been provided to Amazon, including addressing any inconsistencies or statements requiring clarification.

Use Evidence to Support Your Response

We will also assess your sourcing records and related documents to identify any factual gaps that may need to be addressed in your appeal. Where Amazon makes a false allegation, the response should explain why and provide supporting documents. Where the record establishes a problem, the response should address that problem honestly and describe relevant corrective measures and preventative steps. Broad admissions or unsupported promises do little to resolve Amazon’s concerns in an unsuitable inventory case.

Evaluate Escalation Paths

If Amazon rejects multiple responses or refuses to release funds and/or inventory, we will assess whether further submissions, escalation, or contacting Amazon legal is warranted. That review includes evaluation of your evidence and submissions, the truth behind Amazon’s concerns, the value at stake and the anticipated cost of pursuing the matter further.

Send us the investigation notice and your previous appeals. We can discuss what the record supports and whether legal representation makes sense for your business.

Speak with an Attorney About Your Amazon Unsuitable Inventory Policy Investigation

Legal review is particularly useful when Amazon questions the authenticity of your documents, alleges fraud or counterfeit activity, threatens disposal of valuable inventory, or rejects records you believe establish a legitimate purchase.

When Amazon questions your inventory, the response should be built around the products, the transaction and the evidence. Our attorneys can review the investigation, identify the issues affecting your account and property, and explain the available next steps. It can also be important when the account, inventory and funds are all affected and the responses need to be coordinated.

Early review can help identify missing evidence and avoid inconsistent submissions. Contact Amazon Sellers Lawyer or call 212-256-1109 to discuss your unsuitable inventory notice, a rejected appeal or threatened disposal.

Questions About Amazon Unsuitable Inventory Cases

Q. Does an unsuitable inventory notice mean Amazon has determined my products are counterfeit?
A. Not necessarily. A notice usually means Amazon has concerns about your inventory but has not reached a final conclusion. The first notice typically requests information needed to assess the goods and their source. It is important to read the notice carefully to ensure you understand Amazon’s specific concerns and what documents and information they are seeking.

Q. Is Unsuitable Inventory the same as an Amazon inauthentic suspension?
A.There can be overlap, particularly where the source or authenticity of products is questioned. An unsuitable inventory investigation can also concern restricted or illegal products and may place goods in Amazon’s possession at risk. We review the inventory issue alongside any inauthentic item complaint or account suspension.

Q. Can I stop Amazon from disposing of my inventory?
A. It may be possible to stop disposal, but swift action is required. If you are concerned about inventory disposal, preserve the notice you received and ensure you comply with the deadline it provides. Amazon’s policies allow disposal in specific circumstances, including findings of unsuitable inventory and failure to provide requested information within stated deadlines. It is possible to stop disposal, but sometimes intervention from Amazon’s legal team is required.

Q. Can I remove my inventory instead of responding to the notice of unsuitable inventory?
A. No, you should always respond to an investigation and the related requests to prevent Amazon from taking further action against your account, inventory or funds. An investigation also often prevents removal. Whether Amazon will release inventory usually depends on the results of the investigation and status of the goods.

Q. What if Amazon already rejected my invoices?
A. Preserve the rejection, the exact documents submitted and any explanation you provided. We review whether the problem concerns the supplier, product identification, quantity, timing, payment or another evidentiary issue. If the available documents do not establish the necessary facts, that limitation needs to be addressed directly.

Q. Can Arbitration help recover my funds or inventory?
A. An Amazon arbitration lawyer can assess whether the agreement and evidence support a claim for arbitration against Amazon and what relief may be available. Amazon’s U.S. seller agreement generally provides for binding arbitration, subject to certain exceptions. Applicable notice requirements, costs and contractual limitations must be reviewed before filing. Arbitration does not guarantee reinstatement, return of inventory, payment or recovery of lost profits, but can be a valuable tool to take the decision out of Amazon’s hands when the evidence is in your favor but Amazon has failed to recognize its validity.

Q. What should I have ready for a consultation?
A. Have the complete notice, its deadline, the affected ASINs, approximate inventory quantities and value, and the amount of any withheld funds. Include the sourcing documents, previous appeals and Amazon’s responses. Those records help us assess the immediate issue and the practical objective of representation.
